Sumario:Functions, roles, and responsibilities of corporate gatekeepers are considered as important and integral components of an effective corporate governance system. The seven corporate governance functions are oversight, managerial, compliance, internal audit, legal counsel/financial advisers, external auditing, and monitoring functions. Volume II presents the three prevailing corporate governance functions of oversight, management, and monitoring. This volume examines functions performed by corporate gatekeepers. The effective functioning of these functions collectively improves the quality of corporate governance in protecting the interests of all stakeholders. Corporate gatekeepers have common interest and professional obligations to ensure the effectiveness of corporate governance and the quality and reliability of financial statements and related audits. This volume discusses the role of corporate gatekeepers individually and collectively in improving corporate governance. Corporate gatekeepers addressed in this volume are policymakers, regulators, standard-setters, internal auditors, external auditors, legal counsel, and financial advisers. These gatekeepers have different agendas and responsibilities for corporate governance and financial and audit reports, with a common goal of achieving corporate governance effectiveness and making financial statements free of material misstatements whether caused by errors or by fraud. Financial scandals (e.g., Enron, WorldCom) at the turn of the twenty-first century and the 2007-2009 global financial crisis have eroded investor confidence in public financial information and capital markets, and corporate gatekeepers can assist public companies to restore public trust and investor confidence. This volume consists of four chapters addressing corporate governance functions performed by corporate gatekeepers.
